GrabAGun Digital Holdings closed its purchase of Camfour LLC, a Westfield, Massachusetts firearms and ammunition wholesaler, on October 26, 2026, paying approximately $34.0 million in cash. GrabAGun, based in Coppell, Texas, said in its release that it used no outside financing and issued no shares.
Camfour was founded in 1952 and distributes firearms, ammunition and outdoor products to independent retailers, with wholesale ordering, sales coverage and business-to-business credit. GrabAGun (NYSE: PEW) sells online through GrabAGun.com and was already a long-standing Camfour customer.
The price is on a cash-free, debt-free basis and stays subject to adjustment for net working capital, cash, indebtedness and transaction expenses. Valuation rested mainly on the inventory and receivables acquired, net of operating liabilities assumed. Camfour had audited net revenue of approximately $77.4 million in the fiscal year ended December 31, 2025. Part of that came from sales to GrabAGun and will be eliminated in consolidation. GrabAGun’s investor presentation says it contains no projections or financial guidance.
The purchase agreement, filed with the SEC, names the seller as Camfour Holding, Inc., a Massachusetts corporation and the sole member of Camfour LLC. Peter Picknelly, Brian Stefano and Malcolm C. Getz own all of its stock, and all three signed the agreement. It sets a $34,000,000 transaction value. A $119,000 retainage escrow, a $1,700,000 indemnity escrow and a receivables escrow are deducted from the closing payment. Ordinary representations and warranties survive 18 months, and fundamental ones survive seven years. All three sellers also agreed to a five-year non-compete. A lease of the Camfour site at 65 Westfield Industrial Park Road in Westfield is also part of the closing deliveries.
The agreement also covers the federal firearms license. Within five days of closing, the company must tell the ATF of the change of control and name a new Responsible Person, the individual with power to direct the company’s firearms management and policies. Picknelly and Stefano are removed from that role. Getz stays a Responsible Person for no more than six months.
Camfour will run as a separate business with its own name, sales team and dealer terms, and dealers keep ordering through existing channels. PEW Logistics, GrabAGun’s manufacturer fulfillment unit, also stays separate, and manufacturers can use Camfour, PEW Logistics or both. GrabAGun plans to apply its systems to Camfour’s purchasing and inventory. Those include automated pricing across approximately 73,000 active SKUs and its eGunbook compliance system, which has supported more than one million direct-ship transactions. It also plans to help Camfour add manufacturer lines and expand drop-ship programs.
“Camfour will continue to operate as its own business under the Camfour name,” said Marc Nemati, GrabAGun’s chairman and chief executive. Getz, now Camfour’s president, said GrabAGun is “the right strategic partner to help Camfour build on that foundation.”
Haynes and Boone, LLP and Mark Barnes & Associates advised GrabAGun. Siddall & Siddall P.C. and Bulkley, Richardson and Gelinas, LLP advised Camfour.
GrabAGun will file Camfour’s financial statements and pro forma financial information by amendment to its Form 8-K, within the period SEC rules allow. It reports third quarter 2026 results on Thursday, November 12, 2026, after market close, with a 4:30 pm Eastern call that will include commentary on Camfour.
